The policy of Baroza Transport, LLC concerning Invoices, Estimates, Services, Schedule, Changes, Payments, Taxes, Payment Terms, Late Charges, Fees, Cancellation, Payment Methods, Liability, and Hazardous Materials is hereby established as follows:

Baroza Transport, LLC – Terms and Conditions

Invoices: All invoices are guaranteed, however, their balances are subject to fluctuations until marked “Final” by Baroza Transport. The price listed is an estimate based on project requirements agreed with Baroza Transport and may change after negotiations initiated by either party. The customer will be notified of any cost changes in advance, unless otherwise disclosed. Invoices will remain open until the balance is paid in full. An invoice is marked as “Final” upon the full completion of the job or project, which means all services have been rendered and all goods delivered. In the event of a significant fluctuation in the invoice amount, the client will be notified at the earliest opportunity. Baroza Transport and the client will discuss alternative options. There is no set limit to these fluctuations.

Estimates: Estimates are not guaranteed and the listed price is an approximation based on project requirements agreed with Baroza Transport. The actual cost may change after negotiations. The customer will be notified if costs exceed the estimate by more than 10%. Estimates are valid for 14 days unless specified otherwise.

Services: If you accept the terms of the estimate, Baroza Transport will perform services as described. Additional services not covered in the estimate, such as special handling, packaging, or extra labor, will incur additional charges. If an estimate was not provided, fees will be disclosed within 24 hours after services are completed. Baroza Transport is committed to providing quality services and ensuring customer satisfaction.

Schedule: Services will be completed according to the project schedule or a timeline agreed upon in writing by both parties.

Changes: Any requested changes to services described in the documents must be confirmed in writing to Baroza Transport and may incur additional charges. The customer agrees to pay these charges when requesting and agreeing to changes. Changes to the contract can be made by both parties if mutually agreed upon. After a contract is executed, no changes will be made without the consent of both parties, unless due to unpredictable reasons like force majeure. If unforeseen issues arise during a project, the client will be informed immediately, and a discussion will ensue on how to proceed.

Payment: Payment is due upon project completion, unless otherwise agreed. If an estimate was provided, full payment is due minus any previous payments. If no estimate was provided, Baroza Transport will inform the customer of the amount due and provide an invoice within 24 hours.

Taxes: The customer is responsible for all applicable taxes. Tax exemption cannot be recognized unless a valid certificate is provided.

Payment Terms: Unless otherwise specified, invoices related to services defined in the estimate must be paid within 30 days from the invoice date. If no estimate is provided, the document is subject to terms and conditions listed on www.barozatransport.com/terms-and-conditions. Late fees may apply for invoices not paid within the specified time frame. The terms provided in this document are the complete and exclusive payment terms available on Baroza Transport’s website. Discounts or promotional offers may be provided at the discretion of Baroza Transport and will be explicitly mentioned in the contract.

Late Charges: Late fees may apply for invoices not paid within the specified time frame or 30 days if no time frame is specified. An interest rate of 10% per year or the highest legal rate will be applied until the invoice is paid.

Fees: Credit and debit card payments incur a 3.5% convenience fee.

Cancellation: Cancellation with less than 72-hour notice incurs a $150 fee, unless a valid reason, such as severe weather conditions, health emergencies, or unforeseen personal circumstances, is provided.

Payment Methods: Clients can pay via credit/debit card via the customer portal or by check payable to Baroza Transport. Bounced checks incur a $75 fee. Cash payments can be made by appointment only at 4481 N. State St. Call 707-234-8565 or email billing@barozatransport.com to arrange an appointment.

Liability: Baroza Transport is not liable for damages caused during transport unless due to their own negligence. Baroza Transport is not responsible for damages or losses caused by third parties.

Hazardous Materials: Baroza Transport cannot transport or dispose of hazardous materials, including explosives, flammable materials, tires, paint, corrosives, radioactive materials, toxic and pathogenic substances, gases, and asbestos fibers. The customer is responsible for ensuring the absence of such materials prior to transport.

Liability Limitation: The liability of Baroza Transport is limited to the amount of the invoice for services provided per incident. Baroza Transport is not liable for any indirect, special, incidental, or consequential damages, including but not limited to, loss of profits, loss of business, or any other pecuniary loss, regardless of whether Baroza Transport was advised of the possibility of such damages.

Warranties: Baroza Transport makes no warranties, expressed or implied, concerning the services provided. All services are provided “as is” and without warranty of any kind. No warranties are provided unless explicitly mentioned in the contract. Clients can request specific warranties to be included in the contract before its execution. Any such inclusion is at the discretion of Baroza Transport.

Indemnification: The customer agrees to indemnify and hold harmless Baroza Transport, its officers, employees, agents, and representatives from and against any claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising out of or relating to the customer’s misuse of the services provided or violation of applicable laws or regulations.

Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of California. All contracts are governed by California law due to Baroza Transport’s operational constraints within the state.

Severability: If any provision of this agreement is held to be illegal, invalid, or unenforceable, the legality, validity, and enforceability of the remaining provisions shall not be affected or impaired.

Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes all prior understandings, written or oral, relating to the subject matter of this agreement.
